HDRI-Studio License
The copyright and other intellectual property rights in an HDRI Studio Limited image file ("the HDRI Image File") are owned by HDRI-Studio Limited whose registered office is at 25 Harley Street, London W1G 9BR ("the Owner"). Please read through the following license conditions and the Terms and Conditions of Business which appear on the www.HDRI-Studio.com website. If you agree to be legally bound by them please confirm this when prompted. If you do not agree to comply with these terms you will not receive the image file you have selected.
1. license
Upon payment in full of the license fee you are permitted to:
1.1
load the HDRI Image File onto your or your company's computer or a computer network which is entirely under your or your company's control and use it and permit other persons within your company to use it for the production of computer graphics subject always to the number of copies permitted by your license as set out in clause 1.6;
1.2
exploit in all media without limit of time or place and without payment to the Owner of any royalties or fees all graphics files created by you that you have adapted by the use of any part of the HDRI Image File provided that this license shall not extend to any program, application, routine, system or applet incorporating any part of the HDRI Image File;
1.3
transfer the HDRI Image File to another computer or computer network under your company's control subject always to the number of CPUs (where "CPU" is defined as the box containing a motherboard which holds a processor and the same definition applies for any occurrence of "CPU" or "CPUs" in this license) permitted by your license as set out in clause 1.6;
1.4
make up to 3 copies of the HDRI Image File for back-up purposes only provided that such copies reproduce the Owner's notice of ownership and this license;
1.5
transfer the HDRI Image File and the benefit of this license to another person provided that the recipient has agreed to accept the terms of this license and at the same time as transferring the HDRI Image File you transfer all your copies of the HDRI Image File or destroy all copies not transferred. If any transferee does not accept such terms then this license shall automatically terminate immediately. The transferor shall not retain any rights under this license in respect of the transferred HDRI Image File if the license terminates in this way;
1.6
only you or a director or employee of your company may use the HDRI Image File. You must purchase a license for the HDRI Image File appropriate to the number of CPUs used to process or store the HDRI Image File at your company i.e. the SINGLE USER license (which permits processing and storage on one CPU only) or the SME license (for processing and storage on no more than ten CPUs at any one location) or the CORPORATE license (for processing and storage on more than ten CPUs at any one location). Excluding the backup copy files permitted by clause 1.6, if the number of copies of the HDRI Image File stored on your company's computer or computer network at any one time is more than one you must purchase the SME license and if more than ten you must purchase the CORPORATE license. Evidence of the number of CPUs licensed under this Agreement is set out on your license purchase receipt which forms part of this license documentation and should be retained.
2. INFRINGING ACTS
Users of the HDRI Image File are not permitted:
2.1
to do any act that would permit the HDRI Image File to be used or copied by any person for whose usage a license fee has not been paid to the Owner;
2.2
to permit more copies of the HDRI Image File to be stored on your or your company's computer or computer network than permitted by the terms of the license you have purchased in accordance with clause 1.6;
2.3
except as expressly permitted by this license and save to the extent and in the circumstances expressly permitted by law, to rent, lease, sub-license, loan, copy, merge, translate, reverse engineer, decompile, disassemble or create derivative works based on the whole or any part of the HDRI Image File or use, reproduce or deal in the HDRI Image File or any part thereof in any way;
2.4
to publish, market, distribute, transfer, sell or sub-license the HDRI Image File as "clip art" or the like, including but not limited to animations or still images that are sub-licensed or otherwise distributed by a stock photography or stock animation agency.
3. THIRD PARTY RIGHTS
The parties confirm their intent not to confer any rights on any third parties by virtue of this license and accordingly the Contracts (Rights of Third Parties) Act 1999 shall not apply to this license.
4. TERM
This license is effective until you terminate it by destroying the HDRI Image File together with all copies. It will also terminate if you fail to abide by its terms. Upon termination you shall destroy all copies of the HDRI Image File including any HDRI Image File stored on the hard disk of any computer under your or your company's control.
5. CONSUMER PROTECTION (DISTANCE SELLING) REGULATIONS 2000
In accordance with the Consumer Protection (Distance Selling) Regulations 2000 ("the Regulations") if you are dealing with the Owner as a consumer (i.e. you are a person - not a corporation - acting for purposes which are outside your business) you are entitled to be provided with certain information in this license comprising:

the name and address of the Owner (see above);
5.2
a description of the main characteristics of the product: the HDRI Image File and the non-exclusive license hereby granted permits the licensed users to add three dimensional lighting effects to computer graphics stills and animations and explore the interplay of real studio lights, soft boxes and colored gels;
5.3
the price (see the rates on the website www.hdri-studio.com; the price paid for the level of license you have selected will appear on the receipt generated by Kagi);
5.4
delivery costs (none);
5.5
arrangements for payment (payment in full before delivery of the compressed file to you), and for delivery (the HDRI Image File will be available for download to you as a compressed file);
5.6
extra costs of using means of distance communication (none);
5.7
the period for which these terms remain available for acceptance (indefinitely subject to any notice to the contrary posted on the Owner's website www.hdri-studio.com);
5.8
the minimum duration of the contract (none);
5.9
the geographical address to which complaints may be addressed (see above);
5.10
service, support and guarantees (none save for your statutory rights);
5.11
the absence of a right of cancellation. The Regulations provide that consumers are for certain periods to have a right to cancel certain contracts formed exclusively through the means of distance communications. The Regulations exclude contracts for the supply of computer software unsealed by the consumer. Since decompression of the compressed file constitutes your unsealing of the HDRI Image File you will not be entitled to cancel this license agreement once you have indicated your acceptance of its terms.
6. LAW
This license, which constitutes the entire agreement between you and the Owner relating to the HDRI Image File, shall be subject to and construed in accordance with the law of England and Wales and any dispute arising shall be submitted to the exclusive jurisdiction of the English courts.
